End of Year Readiness – Terms & Conditions
By purchasing an End of Year Readiness Audit & Implementation from HCL Designs d.b.a. Coura (“we,” “us,” “our”), you (“Client,” “you”) agree to the following terms:
1. Overview
Our End of Year Readiness Audit & Implementation service offers expert review and strategic guidance to improve your website’s conversion performance. Packages vary in scope and may include UX reviews, written recommendations, implementation guidance, and a live review session.
2. Legal Jurisdiction
This agreement is governed by the laws of the State of Delaware. Any legal action arising under these terms shall be resolved exclusively through mediation in Delaware, unless otherwise mutually agreed in writing.
3. Payment & Processing
- All payments are due in full at the time of purchase.
- Payments are processed through HubSpot (powered by Stripe).
- All prices are listed in USD. We do not charge or collect sales tax.
4. Refunds & Rescheduling
Due to the nature of this service, all purchases are final and non-refundable.
- You may reschedule your live audit call once, provided you give us at least three (3) business days’ notice.
- No-shows or cancellations with less than three (3) business days’ notice will forfeit the included session and must rebook at our standard hourly rate of $365/hour.
5. Timelines & Client Responsibility
- Delivery timelines are provided after onboarding and depend on your timely participation.
- You are responsible for providing website access, collaborator permissions, and attending scheduled sessions.
- If you fail to respond to required communication or provide necessary information within 30 days, your project will be considered inactive. Reactivation will require rebooking at full price.
- Requests outside the scope of the purchased package (as defined during onboarding) may require additional time or incur additional fees, which will be communicated in writing before work proceeds.
6. Authorized Approvals
During onboarding, you must identify who on your team is authorized to give approvals. We will rely on this person’s feedback to complete your audit and will not be held responsible for internal misalignment.
7. Intellectual Property
- All original content, reports, and deliverables created for your business are yours to use internally.
- We retain ownership of our methodologies, templates, tools, and proprietary frameworks.
- We reserve the right to use anonymized versions of your audit outcomes in future marketing or educational materials.
8. Access & Security
- You agree to provide us with collaborator access or login credentials necessary to complete the audit.
- It is your responsibility to remove or revoke access following project completion.
9. Limitation of Liability
Our total liability for any claim shall not exceed the amount paid for the audit. We are not responsible for indirect, incidental, or consequential damages arising from your use of the service.
10. Dispute Resolution
In the event of any dispute, both parties agree to pursue resolution through mediation before initiating legal proceedings.
11. Changes to Terms
We reserve the right to update these Terms. The version in effect at the time of your purchase governs your audit.
12. Disclaimer of Results
Our recommendations are based on industry best practices and our professional experience. However, implementation success and resulting business outcomes—such as increased conversions, revenue, or customer engagement—depend on many external factors, including but not limited to product-market fit, pricing, traffic sources, and your execution of the recommendations. As such, we do not guarantee specific business results or outcomes following the audit.
